The announcement of the Cape Water Performance-Based Bond (JSE ticker FR31PB), arranged and structured by Rand Merchant Bank and issued by FirstRand Bank. R2.5 billion in size, five-year implementation period, and the first capital-markets instrument globally in which a commercial-bank-issued bond ties investor returns to independently verified ecological restoration outcomes.
The announcement identifies the two investor tiers. Outcomes-based funders settle the performance premium against verification: the International Finance Corporation, FSD Africa Investments, Aluwani Capital Partners, the FirstRand Foundation (R50 million anchor), the Development Bank of Southern Africa (R50 million), Remgro, the Rupert Nature Foundation, and the Lewis Foundation. Bond investors hold notes with downside protection and success-premium exposure: Ashburton Investments, the Eskom Pension and Provident Fund, Optimum Investment Group, and Sanlam Life. The Nature Conservancy South Africa is the implementation agent; Conservation Alpha is the independent design and verification agent; the Greater Cape Town Water Fund is the coordinating vehicle for the underlying restoration work in the Boland Grootwinterhoek and adjacent Strategic Water Source Areas.
RMB’s Martin Potgieter framed the deal as “a R2.5 billion market signal that natural capital has entered mainstream finance.” RMB has designed the transaction as the first of a replicable series indexed to South Africa’s twenty-two Strategic Water Source Areas.
